1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you") and Morph LLM, Inc. ("Morph," "we," "us," or "our"), governing your access to and use of our website, services, APIs, and related applications (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree with any part of these Terms, you must not access or use our Services.
PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT REQUIRE, UNLESS YOU OPT OUT PURSUANT TO THE INSTRUCTIONS IN SECTION 13.3, THAT ANY DISPUTES BETWEEN US ARE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, you must not accept these Terms or access or use our Services.
2. Definitions
To ensure clarity throughout these Terms, the following definitions apply:
- "API" means the application programming interfaces made available by Morph that allow you to access and use the Services.
- "API Key" means the authentication credential issued to you by Morph that allows you to access and use the API.
- "Content" means any information, data, text, software, graphics, messages, or other materials that can be submitted, posted, displayed, transmitted, or otherwise made available through the Services.
- "Documentation" means any technical or other specifications or documentation that Morph may provide to you for use in connection with the Services.
- "Enterprise Tier" means the premium level of the Services with customization options, dedicated support, zero data retention, and the highest level of performance and security.
- "Engineer Tier" means the intermediate level of the Services with enhanced access, higher usage limits, improved performance, and additional features compared to the Free Tier.
- "Free Tier" means the basic level of the Services with limited access, usage caps, and standard performance.
- "Self-Hosted" means the deployment of Morph's software within your own infrastructure, subject to a separate license agreement.
- "User Data" means any data, information, or material that you provide or submit to the Services, including but not limited to code, update snippets, and related metadata.
3. Service Description
Morph provides a suite of artificial intelligence tools designed to assist with code transformation, editing, and generation. Our Services include:
- The Morph API for code transformations
- Web-based interfaces for interacting with our technology
- Documentation and examples
- Self-hosted deployment options for eligible customers
Morph reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.
3.1 Service Tiers
Morph offers several tiers of service with different features, capabilities, and terms:
3.1.1 Free Tier
The Free Tier includes:
- Limited access to our API with usage caps and rate limits
- Standard performance for code transformations
- Basic support through community forums and documentation
- Processing of submitted code data subject to the retention policies in Section 5.1
- Use of submitted code data for service improvement and model training as described in Section 5.1
3.1.2 Engineer Tier
The Engineer Tier includes:
- Enhanced access to our API with higher usage limits and rate limits
- Improved performance for code transformations
- Priority support through email and community forums
- Additional features not available in the Free Tier
- Processing of submitted code data subject to the retention policies in Section 5.2
- Use of submitted code data for service improvement and model training as described in Section 5.2
- Enhanced security measures for data handling
3.1.3 Enterprise Tier
The Enterprise Tier includes:
- Comprehensive access to our API with customizable usage limits and rate limits
- Highest level of performance for code transformations
- Dedicated support through email, phone, and designated account representatives
- Customization options for specific use cases
- Zero data retention policy as described in Section 5.3
- No use of submitted code data for service improvement or model training
- Highest level of security for data handling
- Service Level Agreement (SLA) with uptime guarantees
- Custom contract terms available
3.1.4 Self-Hosted
The Self-Hosted deployment option includes:
- Deployment of our software within your own infrastructure
- Customizable configuration options for security, performance, and data handling
- Technical support for deployment and maintenance
- Data retention governed by your internal policies and configurations
- No data transmission to Morph unless explicitly configured
- License terms detailed in a separate license agreement
4. Account Registration and Security
To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
You agree to:
- Maintain the security of your account and password
- Restrict access to your computer and browser
- Promptly notify us of any unauthorized use of your account or other breach of security
- Accept responsibility for all activities that occur under your account
- Ensure that you log out from your account at the end of each session when accessing the Services on a shared computer
We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
You may not share your account credentials with any third party. Each set of account credentials may only be used by one person. If you are an entity, you may create separate accounts for each of your employees or agents who need to access the Services.
5. Data Usage and Retention
The data submitted to our Services is handled according to our Privacy Policy and the specific terms applicable to your service tier.
5.1 Free Tier Data Terms
When using our Free Tier Services:
- License Grant: You grant Morph a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, prepare derivative works of, display, perform, and otherwise exploit the code and data you submit for the purposes of:
- Providing and operating the Services;
- Processing your requests and transactions;
- Improving the Services and developing new products and services;
- Training, tuning, and improving our machine learning models;
- Analyzing usage patterns and optimizing performance;
- Enforcing our rights under these Terms; and
- As otherwise permitted by these Terms or our Privacy Policy.
- Retention Period: We may retain your submitted code and data for up to ninety (90) days from the date of submission. After this period, your data will either be permanently deleted or anonymized in a manner that prevents reconstruction of the original code.
- Model Training: We may use your submitted code to train our machine learning models. This process involves:
- Extracting patterns, techniques, algorithms, or other information from your code;
- Incorporating these elements into our machine learning models;
- Using these models to improve our Services and develop new features;
- Applying anonymization procedures to prevent identification of the original source code.
- Representations and Warranties: You represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit the code and data to our Services;
- Your submission does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations;
- Your submission does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or otherwise objectionable content;
- Your submission does not violate any applicable laws or regulations, including export control laws, data protection laws, or intellectual property laws;
- You have the legal authority to grant the licenses described in these Terms.
- No Expectation of Confidentiality: You acknowledge that any code or data submitted to our Free Tier Services is not confidential and may be processed, stored, and used as described in these Terms and our Privacy Policy.
- Feedback: If you provide any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Morph a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without restriction or compensation to you.
5.2 Engineer Tier Data Terms
When using our Engineer Tier Services:
- License Grant: You grant Morph a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, prepare derivative works of, display, perform, and otherwise exploit the code and data you submit for the purposes of:
- Providing and operating the Services;
- Processing your requests and transactions;
- Improving the Services and developing new products and services;
- Training, tuning, and improving our machine learning models, subject to the anonymization procedures and confidentiality provisions in your service agreement;
- Analyzing usage patterns and optimizing performance;
- Enforcing our rights under these Terms; and
- As otherwise permitted by these Terms, our Privacy Policy, or your service agreement.
- Retention Period: We may retain your submitted code and data for up to thirty (30) days from the date of submission. After this period, your data will be permanently deleted using secure deletion methods that comply with industry standards.
- Enhanced Security Measures: We implement enhanced security measures for data handling, including:
- End-to-end encryption for data at rest and in transit;
- Role-based access controls;
- Audit logging of access to your data;
- Segregated storage environments;
- Regular security assessments and monitoring.
- Model Training: We may use your submitted code to train our machine learning models, subject to the confidentiality provisions in your service agreement. This process involves:
- Robust anonymization techniques to remove identifying elements;
- Removal of sensitive information;
- Technical safeguards against reconstruction of the original code;
- Contractual restrictions on use and disclosure;
- Segregated processing environments with enhanced security.
- Representations and Warranties: You represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit the code and data to our Services;
- Your submission does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations;
- Your submission does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or otherwise objectionable content;
- Your submission does not violate any applicable laws or regulations, including export control laws, data protection laws, or intellectual property laws;
- You have the legal authority to grant the licenses described in these Terms.
- Limited Confidentiality: We will treat your code and data as confidential information, subject to the terms of your service agreement and the licenses granted in these Terms. However, you acknowledge that your code and data may be processed, stored, and used as described in these Terms, our Privacy Policy, and your service agreement.
- Feedback: If you provide any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Morph a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without restriction or compensation to you.
5.3 Enterprise Tier Data Terms
When using our Enterprise Tier Services:
- License Grant: You grant Morph a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, and process the code and data you submit solely for the purpose of providing the Services to you. This license is limited to the duration of the processing operation and expires immediately upon completion of the requested operation.
- Zero-Retention Policy: We implement a zero-retention policy for all code data submitted through our API or services. This means:
- Code data is processed in memory only and is not persisted to disk or any storage system after the completion of the requested operation;
- No code data is retained after the completion of the requested operation in any form, including logs, caches, or backup systems;
- Memory is sanitized immediately after processing to prevent data recovery;
- No copies of your code are maintained in any form after processing completes.
- No Model Training: We do not use your code data to train our models or improve our Services. Your code data is used solely for the purpose of processing your immediate request.
- Retention of Rights: You retain all rights, title, and interest in and to your code and data, subject only to the limited license granted above.
- Representations and Warranties: You represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit the code and data to our Services;
- Your submission does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations;
- Your submission does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or otherwise objectionable content;
- Your submission does not violate any applicable laws or regulations, including export control laws, data protection laws, or intellectual property laws;
- You have the legal authority to grant the licenses described in these Terms.
- Confidentiality: We will treat your code and data as confidential information and will not disclose it to any third party except as required by law or as necessary to provide the Services. We will use commercially reasonable efforts to protect the confidentiality and security of your code and data during processing.
- Audit Rights: Upon reasonable notice and subject to your service agreement, you may audit our compliance with the zero-retention policy. Such audits may include:
- Review of our technical documentation;
- Examination of our security controls;
- Testing of our systems;
- Review of third-party audit reports;
- Other reasonable measures to verify compliance.
- Additional Terms: Additional terms regarding data handling and security may be specified in your Enterprise service agreement. In the event of a conflict between these Terms and your service agreement, the terms of your service agreement will prevail.
- Feedback: If you provide any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Morph a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without restriction or compensation to you.
5.4 Self-Hosted Deployment Terms
When using our Self-Hosted deployment option:
- Data Control: All data remains within your infrastructure and under your control. Morph does not have access to your code or data unless explicitly granted for support purposes.
- Retention Control: Data retention is governed by your internal policies and configurations. You are responsible for configuring the software to meet your data retention requirements.
- Usage Statistics: We may collect anonymized usage statistics if enabled in your configuration. These statistics:
- Do not include any code content;
- Do not contain personally identifiable information;
- Are limited to operational metrics (e.g., request counts, error rates);
- Can be disabled entirely in your configuration;
- Are used to improve our software and services.
- Support Access: If you grant us access to your environment for support purposes, such access:
- Is time-limited and specific to the support issue;
- Is logged and auditable;
- Does not result in data transfer outside your environment unless explicitly approved;
- Is subject to our confidentiality obligations;
- Terminates automatically after the support session.
- License Terms: Your use of the Self-Hosted software is subject to the terms of a separate license agreement. In the event of a conflict between these Terms and your license agreement, the terms of your license agreement will prevail.
- No Data Transfer: Unless explicitly configured or required for support purposes, no data is transmitted from your environment to Morph's servers.
- Your Responsibility: You are responsible for:
- Configuring the software in accordance with your security and privacy requirements;
- Ensuring that your use of the software complies with applicable laws and regulations;
- Maintaining the security of your infrastructure;
- Managing access controls and permissions;
- Implementing appropriate data retention and deletion policies.
- Feedback: If you provide any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Morph a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without restriction or compensation to you.
7. Intellectual Property Rights
7.1 Morph Intellectual Property
The Services, including all content, features, and functionality, are owned by Morph, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms do not grant you any rights to use Morph's trademarks, logos, domain names, or other brand features. All rights, title, and interest in and to the Services and any content created by Morph, including but not limited to software, interfaces, technology, algorithms, machine learning models, and any associated intellectual property rights, are and will remain the exclusive property of Morph and its licensors.
No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by Morph. Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
7.2 Your Intellectual Property
Subject to the licenses granted to us in these Terms and our Privacy Policy, you retain ownership of your intellectual property rights in the content you submit to our Services.
You acknowledge and agree that by submitting content to our Services, you grant Morph certain rights as described in Section 5 of these Terms. The scope of these rights varies depending on your service tier.
Morph respects the intellectual property rights of others. If you believe that material located on or linked to by the Services violates your copyright, you are encouraged to notify Morph in accordance with our Copyright Policy, which is incorporated into these Terms by reference.
7.3 Generated Content
As between you and Morph, you own the output generated by our Services in response to your inputs ("Generated Content"), subject to our ownership of our underlying models, technologies, and pre-existing materials. Specifically:
- Your Ownership: You own all right, title, and interest in and to:
- The specific textual output directly generated by our Services in response to your inputs;
- Any modifications you make to such output;
- Any derivative works that you create based on such output.
- Morph's Ownership: Morph retains all right, title, and interest in and to:
- Our machine learning models and algorithms;
- The Services and their features and functionality;
- Our pre-existing content and materials;
- Our technologies, methods, processes, and techniques;
- Any improvements or modifications to any of the foregoing.
- No Transfer: Nothing in these Terms shall be construed as transferring or assigning any of Morph's intellectual property rights to you, other than the right to use the Generated Content as provided in these Terms.
- No Guarantee of Uniqueness: We do not guarantee the uniqueness or originality of the Generated Content. The Generated Content may be similar or identical to content generated for other users or content that already exists. It is your responsibility to verify that such content does not infringe on third-party rights.
- Your Responsibility: You are solely responsible for:
- Evaluating the accuracy and appropriateness of the Generated Content;
- Ensuring that your use of the Generated Content complies with applicable laws and regulations;
- Obtaining any necessary licenses or permissions for any third-party content incorporated into the Generated Content;
- Verifying that the Generated Content does not infringe on any third-party rights, including intellectual property rights.
Morph does not claim any ownership rights in the Generated Content, except as expressly provided in these Terms. However, you acknowledge that Morph may independently develop, acquire, or receive content that is similar or identical to the Generated Content without any obligation to you.
8. Payments and Billing
Paid subscriptions to our Services are subject to the following terms:
- Subscription fees are charged in advance on a monthly or annual basis, depending on your selected billing cycle.
- All fees are non-refundable unless expressly stated otherwise or required by law.
- You authorize us to charge your designated payment method for all fees associated with your subscription.
- If we are unable to charge your payment method, we may suspend or terminate your access to the Services.
- We reserve the right to change our prices by providing notice at least 30 days in advance.
8.1 Free Trial
We may offer free trials of our Services. At the end of the trial period, you will be automatically charged for the subscription unless you cancel before the trial expires.
8.2 Enterprise and Self-Hosted Pricing
Enterprise Tier and Self-Hosted deployment pricing is customized based on your specific requirements and is governed by a separate agreement.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MORPH MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE.
MORPH DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY INFORMATION, CONTENT, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.
YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK. MORPH SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF MORPH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORPH, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO MORPH DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO MORPH.
11. Indemnification
You agree to defend, indemnify, and hold harmless Morph, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.
12. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California, for the resolution of any dispute arising from these Terms or your use of the Services.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such modifications will constitute your acknowledgment of the modified Terms and your agreement to abide and be bound by the modified Terms.
15. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or additional terms and conditions published by Morph on the Services, shall constitute the entire agreement between you and Morph concerning the Services, unless otherwise specified in an Enterprise contract.
17. Enterprise Options
For enterprise customers, we offer additional options to meet your security and compliance requirements:
- Zero data retention mode - no data is stored after processing
- Self-hosted deployment options for complete data control
- Custom enterprise agreements with specific terms

Note: These terms represent our default terms of service. For enterprise customers, specific terms in your enterprise contract may override or supplement these terms. Please refer to your enterprise agreement for complete details.
